Sleepless Media Procedures and Policies:

Hourly Rate & Minimum Charges:
Sleepless Media charges $95 per hour for all services. We have a minimum charge of .5 hours.

Maintenance Services:
Sleepless Media is available for hourly maintenance on existing websites we have or have not built to the best of our ability. If your website is hosted elsewhere, and we require additional configuration or tech support calls to the host, to complete the work requested by you, additional hourly charges may apply.

Existing Website, Email and/or Database Transfer:
Sleepless Media can provide you with an experienced transfer specialist who will make every effort to assist you in transferring your website to Sleepless Media from another host. Transfer services are provided at our hourly rate of $95/hr. Sleepless Media does not guarantee any time frame for the transfer, space availability, or in some cases the possibility of a website, email account or database transfer. All hosting providers configure their systems differently. Some hosts save data in an incompatible or proprietary format, which may make it extremely difficult if not impossible to migrate some or all account data. In the case our Transfer specialists is unable to assist you in a transfer of your data from another host due to issues with the other hosting platform, you will be responsible for any hourly charges incurred in attempting the transfer.

Project Additions:
If any additional sections, needs or functionality are realized during the development of your website, the cost will be adjusted accordingly.

Ongoing Service and Availability:
Sleepless Media is available for further additions and enhancements to the website we build for you to the best of our ability in the future. We request that you give us at least a monthʼs notice on major revisions or changes to the website to best cater to your needs. For hourly maintenance on existing websites, we request a week notice.

After the initial launch of your website, you may require regular ongoing support, troubleshooting, training and maintenance, we offer the option of purchasing our ongoing monthly service/support contract. This is not required, but it is recommended to get the most out of your website.

Cancellations and Refunds:
Any abuse of our staff in any medium or format will result in the suspension or termination of your services. Refunds are not given for payments made on services, domain purchases or hosting fees.

Rate Change:
Sleepless Media reserves the right to increase the hourly rate charged for services at any time.The current hourly is listed in the first paragraph of these terms and on our payment form here.

Payment Terms:
Sleepless Media bills clients on a bi-monthly basis. For quoted projects, the project will not be delivered until final payment is received from the client. A $25 returned check fee will be charged on all retuned checks. If Sleepless Media is not able to complete your maintenance or project in the scheduled timeline due to negligence on your part to provide content or any other materials needed, Sleepless Media reserves the right to collect full payment in full for the remainder of the contract balance or time spent if it is not paid within 30 days of the estimated completion date.

Warranty:
Once the complete website product is approved by client and after initial launch, there is no warranty on programmatic changes made to the site, all Sleepless Media product is delivered as is.

Copyright:
All content and images are the property of the client. Sleepless Media is not responsible for any content or images once the site goes live. All content and images are the responsibility of the client.

Credits:
Sleepless Media reserves the right to take credit on the website for the design and development, as well as place the site in our websiteʼs online portfolio.

Proprietary Software:
Sleepless Media generally uses its own proprietary custom software for our Content Management Systems (CMS), data management systems and custom e-commerce shopping cart applications. Its use, redistribution or modification is prohibited, and may be subject to ongoing licensing fees and/or costs if you intend to move your hosting or system service in the future.

Open Source Software:
In some cases your website will utilize "open source" software to power one or more features. (i.e. oscommerce, magento, vbulletin, joomla, wordpress, etc.) Regular software updates are recommended, and in some cases security patches will be released that should always be updated. These updates can occur 1-2 times per year. In these cases, you will be notified that the updates have been released, and you can choose whether or not to have us update them for you or not. All updates will be charged on an hourly basis. If any "modules" or "contributions" for any open source software used that are not included in the base install are requested, these will also be billed at an hourly rate for implementation.

Cross-Browser Compatibility:
Websites designed and developed by Sleepless Media are intended to be as cross-browser/platform friendly as possible on major web browsers (IE7+, Firefox, Safari, etc) and operating systems (mac/pc). The website will function normally and look as consistent as possible from one browser to another at the time of launch. However, we do not support IE6 (Internet Explorer 6 which was released in 2001) or any releases prior by default per this contract. Please be advised that if you require compatibility for IE6 or lower, the contract, pricing and/or specs will be adjusted accordingly.

Rush Fees:
If you require any work done on a rush basis, please note that our rush fee is double our current hourly and/or project rate.

Content Accuracy:
All content provided to Sleepless Media for web or print work must be proofread by you and approved before the project begins. Any proofreading or changes to text by Sleepless Media will be subject to our hourly rate.

Disclaimer:
Sleepless Media shall not be responsible for any damages your business may suffer. Sleepless Media makes no warranties of any kind, expressed or implied for services we provide. Sleepless Media disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, no deliveries, wrong delivery, and any and all service interruptions caused by Sleepless Media and its employees.

Disclosure to law enforcement:
Sleepless Media may disclose any subscriber information to law enforcement agencies without further consent or notification to the subscriber upon lawful request from such agencies.
We will cooperate fully with law enforcement agencies.

Changes to the TOS:
Sleepless Media reserves the right to revise its policies at any time without notice.
